I, a Regular Member of PRMIA, a Delaware non-profit non-stock corporation, hereby appoint the Returning Officer of PRMIA as proxy, with full power to appoint a substitute, and hereby authorize him to be present and vote, as designated below, on my behalf, at the Special Meeting of Members of PRMIA to be held on October 27, 2006 at 12:00PM, local time, Shanghai Room, 15th Floor, Dorsey & Whitney LLP, 50 South Sixth Street Minneapolis, Minnesota, and at all adjournments thereof:

The Special Meeting is called for purpose of electing the Board of Directors of PRMIA and no other business shall be conducted.
